DATALEX ANNOUNCES CREATION AND MINORITY STAKE IN FRAMEWORK TECHNOLOGY

NOTE: At the time off the spinoff from Datalex, Conducive Technology was known by an interim name, Framework Technology.


Framework Technology, to be based in Portland, Oregon, will be comprised of staff and executives formerly of Sight & Sound, a company acquired by Datalex in 2000. Framework Technology was later renamed Conducive Technology in January 2002.

Dublin, Ireland and Atlanta, GA - October 3, 2001 - Datalex (Nasdaq: DLEX; ISE: DLE), a leading provider of technology solutions to the global travel and transportation industry, announced today that, effective immediately, the company has taken a 30 percent minority stake in a newly-formed company, Framework Technology Corporation. Framework Technology, to be based in Portland, Oregon, will be comprised of staff and executives formerly of Sight & Sound, a company acquired by Datalex in 2000 -- since merged and integrated as providers of the BookSmart product.

As part of the agreement, Datalex will retain intellectual property rights and continue to support the BookSmart Internet Booking Engine product to existing and potential travel and transportation customers. Framework Technology will utilize the underlying architecture platform to target new industries that can make full use of its innovative architecture.

"The creation of Framework Technology demonstrates the sensible way for us to rationalise the scale of our USA operations and at the same time create an attractive investment opportunity," said Datalex CEO Neil Beck. "Together with Framework Technology we have determined that there is a good market opportunity for this technology outside of the travel and transportation industry and we have taken steps to ensure the opportunity is maximized."

The new company's leading-edge distributed computing technology is positioned to serve a new range of industries, bringing innovative solutions to market faster and delivering the underlying technologies needed to allow a new series of customers to expand and reach their full potential. Customized applications can be written on top of the Framework Technology transaction middleware product architecture to add business functionality. The technology uses an open architecture and business model that allows it to be deployed, configured, customized and extended by third parties such as IT consultants and e-commerce integrators.

Datalex will take a 30 percent stake in Framework Technology in return for an investment of $ 0.5m in cash and $1.5 in other assets. Datalex has also agreed to provide a working capital loan of up to $800,000 to Framework Technology for the initial twelve months of operation.

Existing BookSmart customers will continue to receive support and development resources through Datalex. This includes enhancements, maintenance, professional services or other services as outlined in customer agreements. These services will be provided to existing Datalex customers through an exclusive subcontracting agreement with Framework Technology.
